1. Agreement
These Terms of Service (“Terms”) are a contract between you and Acctlibra, operating from Washington, D.C. (“Acctlibra,” “we,” “us”). They govern access to acctlibra.com, firm workspaces, the client portal, and related services (the “Service”).
By creating an account, starting a trial, inviting a teammate, or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a firm, you confirm you have authority to bind that firm. If you do not agree, do not use the Service.
2. The Service
Acctlibra is practice management software for professional service firms. It helps a firm keep clients, services, work, documents, tasks, calendar items, messages, and a client portal in one workspace.
We may add, change, or remove features. We do not promise that the Service is error-free, uninterrupted, or fit for a particular legal, tax, immigration, or other professional result. Acctlibra is a software tool. It is not a law firm, accounting firm, or licensed professional, and it does not provide professional advice.
3. Accounts and workspaces
You must provide accurate information and keep your password confidential. You are responsible for activity under your account and for people you invite.
Each workspace belongs to the firm that created it (the “Customer”). Team members and portal users access only what the Customer grants. You must be at least 18 years old to create a workspace.
You will not share login credentials, attempt to access another firm’s workspace, or interfere with the Service. We may suspend access if we reasonably believe these Terms have been violated or if we need to protect the Service or other customers.
4. Your data and client information
The Customer owns the records it stores in the workspace, including client names, contact details, work files, messages, and documents (“Customer Data”). We process Customer Data only to provide, secure, and improve the Service, and as described in our Privacy Policy.
The Customer is responsible for having a lawful basis to collect and store information about its own clients and for any notices or consents those clients require. You must not upload data you are not allowed to store.
Uploads are limited to PDF, PNG, JPG, and DOCX files, each no larger than 10 MB, unless we publish a different limit. You must not upload malware or content that is illegal to possess or transmit.
When a workspace is deleted, or when you request account deletion as described in the product, we delete or anonymize Customer Data from active systems within a reasonable period, except where we must retain records for billing, security, or law.
5. Acceptable use
You will not: (a) reverse engineer or overload the Service; (b) scrape, mine, or resell the Service except as we allow in writing; (c) send spam or deceptive messages through the Service; (d) upload or share child sexual abuse material, or content that exploits minors; (e) use the Service to violate export, privacy, or professional-conduct rules that apply to your firm; or (f) impersonate another person or firm.
We may remove content or suspend a workspace that, in our reasonable judgment, violates this section or creates legal or security risk.
6. Trials, fees, and billing
New firms may start with a 14-day trial where we offer one. Unless we say otherwise, a trial does not require a card. When a paid plan begins, fees are charged in the currency shown at checkout, typically through Stripe.
Subscriptions renew until cancelled. You can manage billing in workspace settings or the Stripe customer portal where available. Fees are generally non-refundable except where required by law or where we state otherwise at purchase.
You are responsible for taxes that apply to your purchase. If a payment fails, we may limit access until the account is current. We may change prices with notice before the next renewal.
7. Intellectual property
We own the Service, including software, design, trademarks, and documentation. These Terms do not transfer our intellectual property to you. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription or trial, solely for your firm’s internal operations.
You retain ownership of Customer Data. You grant us a limited license to host, display, and process Customer Data as needed to operate the Service for you.
Feedback you send us may be used to improve the Service without obligation to you.
8. Confidentiality
We will treat Customer Data as confidential and will not disclose it except: to provide the Service; to subprocessors bound to protect it; if you instruct us to; if required by law; or if it is already public through no fault of ours.
You will not disclose non-public information about our Service, pricing not published on the site, or security details except as needed for your own use of the Service or as required by law.
9. Third-party services
The Service relies on providers such as hosting and authentication, file storage, email delivery, payment processing, rate limiting, and optional document-analysis tools. Those providers process data as described in our Privacy Policy. Their terms apply to their own products. We are not responsible for third-party outages or policy changes outside our control.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that documents, deadlines, or AI-assisted extraction are complete or accurate. You must review outputs before relying on them in client work.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACCTLIBRA AND ITS OWNERS, PARTNERS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF WE WERE ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US $100) IF YOU WERE ON A FREE TRIAL AND PAID NOTHING.
Some jurisdictions do not allow certain limits. In those places, our liability is limited to the fullest extent allowed.
12. Indemnity
You will defend and indemnify Acctlibra against claims, damages, and reasonable legal fees arising from: Customer Data; your use of the Service; your violation of these Terms or of law; or a dispute between your firm and a client, teammate, or third party.
13. Term and termination
These Terms last until you stop using the Service or we terminate access. You may close a workspace as the product allows. We may terminate or suspend the Service with notice, or immediately if you materially breach these Terms or if we must do so for legal or security reasons.
Sections that by their nature should survive (including fees owed, intellectual property, confidentiality, disclaimers, liability limits, and indemnity) survive termination.
14. Changes
We may update these Terms. We will post the new version on this page and change the effective date. Material changes will be announced in the product or by email when we have an address for the workspace owner. Continued use after the effective date means you accept the updated Terms.
15. Governing law
These Terms are governed by the laws of the District of Columbia, United States, without regard to conflict-of-law rules. Courts located in Washington, D.C. have exclusive jurisdiction, except that we may seek injunctive relief in any court for unauthorized access or misuse of the Service.
If a provision is unenforceable, the rest remains in effect. These Terms are the entire agreement for the Service and replace prior terms on the same subject. You may not assign these Terms without our consent; we may assign them in a merger, acquisition, or sale of assets.
